Introduction

This article is the background paper of the 2nd General Counsels' Roundtable organized by the Collaboratory for Research on Global Projects at Stanford University in February 2006. Following the research directions laid out in the 1st Roundtable, participants of the 2nd Roundtable collected data and developed theories and strategies to address the legal/contractual failures in long-term private investments in foreign infrastructure.
