Summary

Décision déférée à la Cour : sentence arbitrale rendue à Paris, le 30 août 2022, sous l'égide du règlement d'arbitrage de la Chambre de commerce internationale, dans l'affaire enregistrée sous la référence No 25704/HBH.

FAITS ET PROCEDURE

1. La cour est saisie du recours en annulation d'une sentence arbitrale rendue à Paris, le 30 août 2022, sous l'égide du règlement d'arbitrage de la Chambre de commerce internationale, dans une affaire (No. 25704/HBH) opposant la société de droit autrichien OMV Aktiengesellschaft (ci-après, ' OMV ) au Ministère de l'Environnement, des Eaux et des Forêts de l'État de Roumanie (ci-après, le ' Ministère de l'Environnement ).

2. Le différend à l'origine de cette sentence fait suite à l'acquisition par OMV de l'ancienne entreprise publique roumaine National Petroleum Company Petrom SA (ci-après, ' Petrom ) privatisée en 2004. Il porte sur la mise en 'uvre du mécanisme d'indemnisation prévu dans le cadre de l'accord de privatisation de cette entreprise, destiné à compenser les pertes environnementales et coûts d'abandon consentis liés à la pollution historique provoquée par l'activité de Petrom.

3. Le 23 juillet 2004, le ministère de l'économie et du commerce de Roumanie et OMV ont conclu un accord intitulé 'Accord de privatisation pour l'acquisition par OMV de 51 % du capital de Petrom, dans le cadre duquel la Roumanie a accordé à OMV une garantie de passif, couvrant en particulier les ' Pertes Environnementales et ' Coûts d'abandon liés à la pollution historique de Petrom, dont les modalités sont précisées à l'Annexe P de l'accord.

4. Par requête du 2 octobre 2020, OMV a engagé une procédure arbitrale sur le fondement de l'article 7 de l'accord de privatisation afin d'obtenir l'indemnisation de ces pertes environnementales découlant de la dépollution d'une fosse à boue et de sept entrepôts, ainsi que des coûts d'abandon liés à la fermeture de puits.

5. Par la sentence querellée, le tribunal arbitral a condamné le Ministère de l'Environnement à verser à Petrom diverses indemnités en application du mécanisme, pour un montant total de 155 516 676,01 lei roumains, soit un peu plus de 31 millions d'euros, dans les termes suivants :

FOR THE FOREGOING REASONS, le Arbitral Tribunal:

A. REJECTS Respondent's request for the appointment of an independent expert;

B. ORDERS Respondent to pay to PETROM an amount of RON 19,990,222.63 as indemnity for the Environmental Losses incurred for the Remedial Actions taken in connection with the closure of the Suplac Park 1 Slidge Pit;

C. ORDERS Respondent to pay to PETROM an amount of RON 4,455,961.16 as indemnity for the Environmental Losses incurred for the Remedial Actions taken in connection with the closure of the Sfântu Gheorghe Warehouse;

D. ORDERS Respondent to pay PETROM an amount of RON 3,082,788.77 as indemnity for the Environmental Losses incurred for the Remedial Actions taken in connection with the closure of the [Localité 1] Warehouse;

E. ORDERS Respondent to pay to PETROM an amount of RON 2,417,061.74 as indemnity for the Environmental Losses incurred for the Remedial Actions taken in connection with the closure of the Tecuci Warehouse;

F. ORDERS Respondent to pay to PETROM an amount of RON 3,678,394.07 as indemnity for the Environmental Losses incurred for the Remedial Actions taken in connection with the closure of Focsani Warehouse;

G. ORDERS Respondent to pay to PETROM an amount of RON 307,213.23 as indemnity for the Environmental Losses incurred for the Remedial Actions taken in connection with the closure of [Localité 2] Warehouse;

H. ORDERS Respondent to pay to PETROM an amount of RON 785,392.44 as indemnity for the Environmental Losses incurred for the Remedial Actions taken in connection with the closure of Tudor Vladimirisecu Warehouse;

I. ORDERS Respondent to pay to PETROM an amount of RON 1,010,217.26 as indemnity for the Environmental Losses incurred for the Remedial Actions taken in connection with the closure of Calarasi warehouse Warehouse;

J. ORDERS Respondent to pay to PETROM an amount of RON 119,789,424.71 as indemnity for Accepted Abandonment Costs incurred for the 988 Wells listed in Exhibit C-210.1 and C-210.2;

K. ORDERS, for the amounts awarded sub B to J, that interest shall be due from the Due Date (calculated as 120 Business Days following the submission of the relevant Notice) until the date of full and final payment to PETROM (the Payment Date) at the reference rate published by the National Bank of Romania for the month on which the Due Date falls, to which a margin of 2% per annum shall be added. Such interest shall start to accrue for each of the amounts awarded sub

B to J from the following Due Dates [...]

L. ORDERS with regard to the Costs of the Arbitration that:

1. Respondent shall bear its own Party Costs in full

2. Respondent shall reimburse Claimant its Party Costs, in the amount of EUR 1,430,295.71

3. Respondent shall bear the Arbitration Costs set at USD 560,000.00 and shall therefore reimburse to Claimant the advanced amount of USD 280,000.00

4. Respondent shall pay interest on the amounts sub a. to c. at the level of the reference interest rate of the National Bank of Romania in accordance with Article 3(1) of GO 13/2011 from the date of the present final award until full and final payment by Respondent.
